1. Acceptance of the Terms
By accessing or using the website available at https://wadline.com and all related subdomains (including but not limited to *.wadline.com) (the “Website”) and any services provided via the Website (collectively, the “Services”), you agree to be bound by these Terms of Service (“Terms”) and all applicable laws and regulations. If you do not agree with these Terms, you must not access or use the Website or the Services.
2. Definitions
“WADLINE”, “we”, “us” or “our” means the entity operating the Website and providing the Services.
“User”, “you” or “your” means any individual or entity accessing or using the Website or Services.
“Account” means a registered user account on the Website.
“Plans” or “Tariffs” means the paid account levels, options, subscriptions and services offered by WADLINE from time to time
as described on the Pricing Page.
3. Business Use Only
The Services are intended for use by businesses, professionals and organizations only. By creating an Account or purchasing any Plan, you represent and warrant that you are acting for business or professional purposes and not as a consumer.
4. Use License
Subject to your compliance with these Terms, WADLINE grants you a limited, revocable, non-exclusive, non-transferable license to temporarily download one copy of the materials on the Website for your own internal business use and transitory viewing only. This is a license, not a transfer of title. Under this license you must not:
- modify or copy the materials (except as expressly permitted by WADLINE in writing);
- use the materials for any public display or for any purpose other than your own internal business purposes;
- attempt to reverse engineer, decompile or otherwise derive the source code of any software contained on the Website;
- remove or alter any copyright, trade mark or other proprietary notices from the materials; or
- transfer the materials to another person or “mirror” the materials on any other server or service.
WADLINE may terminate this license at any time, in particular if you breach any of these restrictions. Upon termination, your right to use the materials will automatically cease and you must destroy any downloaded or printed materials in your possession or control.
5. Account Registration and Security
You may be required to create an Account in order to use some or all of the Services. You agree to provide and maintain accurate, current and complete information during registration and at all times thereafter. WADLINE may, at its sole discretion, reject the registration of any Account or delete any Account at any time without being obliged to provide a reason.
You are solely responsible for safeguarding your login credentials and for all activities that occur under your Account. You must notify WADLINE immediately of any unauthorized use of your Account or any other breach of security. WADLINE is not liable for any loss or damage arising from your failure to maintain the security of your Account.
6. User Content
You may be able to submit, upload, publish or otherwise make available company profiles, descriptions, reviews, logos, images, text or other content (“User Content”) through the Services. You remain solely responsible for all User Content that you submit. You represent and warrant that:
- you have all rights, licenses and permissions necessary to submit the User Content and to grant the rights described in these Terms; and
- your User Content does not infringe, misappropriate or violate any third-party rights or any applicable law or regulation.
By submitting User Content, you grant WADLINE a worldwide, non-exclusive, royalty-free, transferable, sub-licensable license to use, host, store, reproduce, modify, adapt, publish, translate, distribute, publicly perform and display such User Content in connection with the operation, marketing and improvement of the Services.
You acknowledge and agree that WADLINE does not control and is not responsible or liable for any User Content, and that you use and rely on any User Content at your own risk. WADLINE does not endorse, verify or guarantee the accuracy, legality or reliability of any User Content.
You agree to indemnify, defend and hold harmless WADLINE and its directors, officers, employees and agents from and against any and all claims, damages, liabilities, losses, costs and expenses (including reasonable attorneys’ fees) arising out of or in connection with (a) your User Content, (b) your use of the Website or Services, or (c) your breach of these Terms or applicable law.
WADLINE does not undertake to monitor all User Content but reserves the right, at its sole discretion, to remove, edit or disable access to any User Content for any reason, including if WADLINE considers that the User Content violates these Terms or may create liability for WADLINE.
7. Plans, Tariffs and Paid Services
Details of the available Plans, features, limits and fees are described on the pricing page available at https://wadline.com/pricing (the “Pricing Page”). The Pricing Page is incorporated into and forms part of these Terms by reference. By purchasing or using any Plan, you agree to the conditions and limitations described on the Pricing Page as updated from time to time.
WADLINE may modify, add or remove Plans, features and fees at any time in its sole discretion. Unless otherwise stated, any changes to prices or features will apply to new purchases and to renewals of existing subscriptions after the effective date of the change.
Descriptions of Plans and features on the Pricing Page are provided for information purposes only and do not constitute a guarantee of any specific ranking, visibility, traffic, number or quality of leads or any business results. You acknowledge that the performance of your company profile, including its position in listings and any number of contacts or leads received, may depend on multiple factors outside WADLINE’s control.
WADLINE may refuse to provide any paid Services or Plan upgrade at any time and without being obliged to provide a reason.
8. Payments, Billing and No-Refund Policy
All fees for Plans and other paid Services (“Fees”) are payable in advance, in the currency and by the payment methods specified on the Website, unless otherwise agreed in writing. You authorize WADLINE (or its payment processors) to charge your selected payment method for all Fees due.
Plans may be offered on a recurring subscription basis (for example, monthly or annually). Unless otherwise stated, subscriptions will automatically renew at the then-current price for the same term, and you authorize WADLINE to charge your payment method at each renewal, until you cancel the subscription in accordance with the instructions on the Website.
To the maximum extent permitted by applicable law, all Fees are non-refundable and non-creditable. This includes, without limitation, situations where:
- you decide to cancel your Plan or stop using the Services before the end of the paid term;
- you fail to use or fully benefit from the Services or features of your Plan;
- you are dissatisfied with the position, ranking, visibility, number or quality of leads, or any other result;
- you experience temporary interruptions, bugs, maintenance or other technical issues; or
- your Account is suspended or terminated due to your breach of these Terms or applicable law.
No partial refunds or credits will be provided for unused time or unused features in any billing period.
You agree not to initiate any chargeback or payment dispute unless you have a legal right to do so (for example, in the case of unauthorized use of your payment method). If you initiate a chargeback contrary to these Terms, WADLINE may suspend or terminate your Account and may contest the chargeback with supporting evidence.
You are responsible for any taxes, duties or similar governmental charges (including VAT, where applicable) associated with your purchases, excluding taxes on WADLINE’s income.
9. Support and Response Times
WADLINE may provide email support for certain paid Plans as specified on the Website and/or Pricing Page. Some Plans (including free or entry-level Plans) may not include any support. For Plans that include support, response times may vary, for example, from 20 business days up to 60 business days, depending on the queue and complexity of the request. WADLINE does not guarantee any specific response time unless expressly agreed in writing.
10. Limitations of Liability
To the maximum extent permitted by applicable law, in no event shall WADLINE or its directors, officers, employees, agents, partners or suppliers be liable for any indirect, incidental, special, consequential, punitive or exemplary damages, or for any loss of profit, revenue, data, goodwill or business opportunities, arising out of or in connection with your use of, or inability to use, the Website or the Services, even if WADLINE has been advised of the possibility of such damages.
To the maximum extent permitted by applicable law, WADLINE’s total aggregate liability arising out of or relating to the Website, the Services or these Terms shall in no event exceed the total Fees paid by you to WADLINE for the Services giving rise to the claim during the twelve (12) months immediately preceding the event giving rise to such liability.
11. Disclaimer of Warranties
The Website, the Services and all materials and content provided by WADLINE are provided on an “as is” and “as available” basis without warranties of any kind, whether express, implied or statutory, including without limitation any implied warranties of merchantability, fitness for a particular purpose, title and non-infringement.
WADLINE does not warrant that the Website or the Services will be uninterrupted, error-free, secure, or free of viruses or other harmful components, or that any defects will be corrected. WADLINE does not warrant or make any representations regarding the accuracy, completeness, reliability or currentness of the materials on the Website or any sites linked to the Website.
12. Revisions and Availability
The materials appearing on the Website may include technical, typographical or photographic errors. WADLINE does not warrant that any of the materials are accurate, complete or current. WADLINE may change, update or remove the materials or the Services at any time without notice and without any obligation to update such materials.
13. Links
The Website may contain links to third-party websites or resources. WADLINE has not reviewed all of the sites linked to the Website and is not responsible for the content, products, services or practices of any third-party sites. The presence of any link does not imply endorsement by WADLINE. Your use of any linked website is at your own risk.
14. Suspension and Termination
WADLINE may, at its sole discretion and without prior notice, suspend or terminate your access to the Website or Services (including your Account) if WADLINE believes that you have violated these Terms, applicable law, or that your use may create risk or possible legal exposure for WADLINE. Upon termination, all rights granted to you under these Terms will immediately cease. Any provisions of these Terms that by their nature should survive termination shall survive, including without limitation Sections relating to payments, no-refund policy, intellectual property, disclaimers, limitations of liability, indemnity and governing law.
15. Modifications to the Terms
WADLINE may revise these Terms at any time by posting an updated version on the Website. The “last updated” date at the top of the Terms will indicate the date of the latest changes. By continuing to access or use the Website or the Services after the revised Terms have become effective, you agree to be bound by the revised Terms. If you do not agree to the new Terms, you must stop using the Website and the Services.
16. Governing Law and Jurisdiction
Any claim, dispute or controversy arising out of or related to the Website, the Services or these Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which WADLINE is established, without regard to its conflict of law rules. You and WADLINE agree to submit to the exclusive jurisdiction of the competent courts of that jurisdiction.
17. Miscellaneous
If any provision of these Terms is held to be invalid or unenforceable, such provision shall be enforced to the maximum extent permissible and the remaining provisions shall remain in full force and effect. These Terms constitute the entire agreement between you and WADLINE regarding the subject matter hereof and supersede all prior or contemporaneous agreements, understandings or communications. No failure or delay by WADLINE in exercising any right under these Terms shall constitute a waiver of that right.
Refund Policy
1. General Rule – No Refunds
To the maximum extent permitted by applicable law, all Fees paid to WADLINE for any Plans, subscriptions, upgrades or other paid Services are final, non-refundable and non-creditable. By purchasing any Plan or paid Service, you acknowledge and agree that you will not be entitled to any refund or credit, except where a refund is mandatorily required by applicable law.
2. Examples of Non-Refundable Situations
Without limiting the general rule above, no refunds or credits are provided in particular (but not limited to) the following cases:
- you cancel your Plan or subscription before the end of the paid term;
- you decide not to use, or to minimally use, the Services after purchase;
- you are dissatisfied with your company’s position, ranking, visibility, traffic, the number or quality of leads or any other business result;
- you provided incorrect or incomplete data for your profile or Plan settings;
- your access to the Website or Services is temporarily unavailable due to maintenance, updates or technical issues;
- your Account is suspended, restricted or terminated due to your breach of these Terms or applicable law;
- features or Plans are changed, updated or removed by WADLINE.
3. Technical Issues
If you encounter technical issues affecting your ability to reasonably use the Services, you must notify WADLINE support and provide detailed information, such as screenshots of error messages, log files and a detailed description of your actions. WADLINE will use commercially reasonable efforts to investigate and, where possible, correct the issue or propose a workaround. Such efforts do not create any obligation to provide a refund or credit.
4. Chargebacks
You agree not to initiate a chargeback or payment dispute unless you have a legal right to do so (for example, in the case of unauthorized use of your payment method). In the event of an unjustified or abusive chargeback, WADLINE may:
- immediately suspend or permanently terminate your Account and access to the Services; and
- contest the chargeback and provide evidence to the payment processor or bank.
5. Mandatory Rights
Nothing in this Refund Policy is intended to exclude or limit any rights you may have under mandatory provisions of applicable law that cannot be excluded or limited by contract. To the extent such mandatory rights grant you a right to a refund, WADLINE will comply with its legal obligations. In all other cases, the no-refund rule stated above shall apply.
“Services” for the purposes of this Refund Policy include any and all paid Plans, subscriptions, options and other paid services offered by WADLINE from time to time, as described on the Website and the Pricing Page.
